General Eligibility Criteria and Terms
The promotional offer described below (“Offer”) is available only during the period May 15, 2020 to August 31, 2020 (the “Offer Period”). The Offer is available only to new merchants located in Canada who who (i) have directly received an email or telephone communication from Moneris Solutions Corporation (“Moneris”), Royal Bank of Canada or Bank of Montreal referring to this Moneris offer; (ii) do not currently have an agreement for payment processing services from Moneris, and (iii) enter into an agreement for Visa®, Mastercard®, and Interac® processing services in Canada with Moneris and rent payment devices from Moneris at regular list prices. Offer is limited to one (1) per merchant. Moneris is under no obligation to approve a merchant for any services and reserves the right to determine a qualified merchant in accordance with its credit adjudication and other policies and procedures. Following satisfactory Moneris approval, merchants will be required to agree to, and agree to be bound by, the terms and conditions under the merchant and/or gift card processing agreement(s) and/or other agreement(s) with Moneris (individually, an “Agreement” and collectively, the “Agreements”).
The Offer is not available to merchants who (i) currently participate in a merchant program for franchisees, trade associations, member associations or other buying groups, or (ii) that have processed an aggregate Visa® and Mastercard® transaction volume of $2,500,000 CAD or greater in the preceding three (3) months.
The Offer is subject to change, withdrawal or cancellation at any time and is not valid or combinable with any other offer for Moneris processing services. Offer is non-transferable. If any of the applicable Agreements is terminated prior to the expiry of its term, the merchant will pay Moneris the amount (or value) of the Offer it received. The merchant remains responsible for all other fees and payments in accordance with their Agreements, including applicable restocking fees. The Offer does not apply to Moneris PAYD® or PAYD® Pro products. Except for the components of the Offer expressly described herein, all other applicable fees and charges in the Agreements apply throughout the Offer Period and thereafter.
Offer Details
Wireless Device Set-up and Monthly Fee Waiver
Moneris will waive the device set-up fee and monthly device rental fee as set out in the Agreement, on up to two (2) long-range wireless devices rented by the merchant, for the first two (2) months of rental, up to a total maximum value of $150. Thereafter, regular fees in the Agreement will apply. This amount may not cover the full cost of device rental fees. To receive the full value of this offer, the merchant must rent the applicable device for at least two (2) months. Merchants who do not rent a device from Moneris are not eligible for this component of the Offer.
Moneris Gateway Fee Waiver
Moneris will waive the Gateway set-up fee, monthly account fee and monthly fee for one (1) Moneris Gateway account, as set out in the Agreement, for the first two (2) months of access, up to a total maximum value of $150. Thereafter, regular fees in the Agreement will apply. To receive the full value of this offer, the merchant must use Moneris Gateway for at least two (2) months. Merchants who do not use Moneris Gateway are not eligible for this component of the Offer.
Meet & Beat Current Merchant Pricing
Prior to entering into an Agreement, eligible merchants must provide Moneris with its Mastercard®, Visa® and Interac® merchant processing statements for the last three full consecutive months preceding their application to Moneris. The rate comparison for Moneris’ offer will be based on the processing rates for Mastercard®, Visa® and Interac® transactions as set out in the processing statements provided and subject to parameters as determined by Moneris. Rates comparison excludes any one-time or activation fees, service fees, terminal or device rental fees or other event-driven fees. Moneris will offer the eligible merchant a pricing proposal for Mastercard®, Visa® and Interac® rates based on the foregoing analysis, which will form part of the Agreement if agreed to by the merchant. The comparison is valid as of the date statements from existing acquirer are provided by the merchant as compared to the offered Moneris rates.
50% Off eGift Card Fees
Moneris will waive the eGift Card setup fee and apply a discount of 50% off of the eGift Card monthly fee and Enhanced Reporting monthly fee (before taxes) for the first two (2) months following the effective date of the Agreement. In addition, Moneris will apply a discount of 50% off of the eGift Card per-Card Delivery fee for eGift Cards during the first two (2) months following the effective date of the Agreement. To receive the full value of this offer, the merchant must use Moneris eGift Card services for at least two (2) months.
90-day Satisfaction Guarantee
The 90-day satisfaction guarantee is limited to a waiver of the cancellation, deactivation or stocking fee if the merchant cancels the Agreement within 90 days from the date of the Agreement. All other fees, charges and terms and conditions in the Agreements apply.
Moneris, its officers, directors, employees, shareholders, promotion agencies, agents, successors, assigns and service providers will not be liable for any direct, indirect, incidental, special or consequential damages arising out of the Offer, even if advised of the possibility of such damages. By participating in the Offer, merchant waives any and all rights to bring any claim or action related to such matters in any forum beyond one (1) year after the first occurrence of the incident upon which the claim or action is based. Merchant agrees that any and all disputes, claims and causes of action arising out of or connected with the Offer, shall be resolved individually, without resort to any form of class action.
By participating in the Offer, Merchant agrees to release and hold harmless Moneris and each of its parents, subsidiary, affiliate and related companies, and its and their respective officers, directors, employees, and agents from and against any losses, damages, rights, claim or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Offer or resulting directly or indirectly, from acceptance, possession, use, or misuse of any item given in connection with the Offer.
